Corporate Law Practice

We advise and assist corporate clients in a wide variety of matters. We provide sound opinions on business opportunities, choice of business organization, foreign investments, acquisition and transfer of shares, as well as regulations governing corporate staff. We help finalize incorporation matters, contracts and joint ventures Agreements. We handle company secretary tasks, corporate restructuring options, investment disputes and winding up.We have also contributed to the publication of the Commented version of cases of the OHADA Common Court of Justice and Arbitration (CCJA) and of the OHADA uniform acts – JURI AFRICA CD Rom 2011.

Investment Law

We assist and advise clients on investment opportunities in the key economic sectors in Central and West Africa, free trade zones, and on available tax and customs incentives, as well as on privileges offered by the investment code. We represent them in dealings with the relevant government agencies promoting the financial or corporate investments envisaged.We assist in ensuring compliance with regulations concerning incorporation of subsidiaries, employment, social security and tax requirements.

Intellectual Property

With our sound training on IP filing and litigation techniques from the African Intellectual Property Organization, we advise and assist on filing of trademark, patents, and industrial designs and models. We handle the related litigation (opposition, cancelation, restoration and counterfeiting procedures). We negotiate and draft Intellectual property rights agreements (assignment, licensing, transfer, etc) including copyrights and related rights agreements.We also handle due diligence relating to consumers’ protection, compliance with the regulations on Standards and Quality and product liability procedures.

With regard to the evaluation of conformity to existing standards on goods, we offer our expertise in consumers’ protection procedures. We assist stakeholders in all the phases of control to ascertain that prescribed norms are met and quality procedure respected.

Energy Law

Our long lasting partnership with one of the greatest African research centers on energy and mining policies (CARPEM) and the Association of International Petroleum Negotiators (AIPN) has enabled us to contribute to following publications: Dynamics of transparency in the Cameroon oil industry,OGEL publication, issue n°1875-418X of August 2009, Recent trends and implications of the Cameroon government in the Energy sector, AIPN ADVISOR n° 290 of Sept-Oct 2008 and the Peculiarity of upstream petroleum taxation.As another considerable project, we can cite our contribution to publication of the english version of the compendium of African Hydrocarbons legal systems: Droit des Hydrocarbures en Afrique, Harmattan 2013 .

Banking Law

We advise on the major banking transactions, issues relating to negotiable instruments, credit transactions and general bank-customers relationship. We also assist banks in drafting surety agreements and other specific agreements (for partnership purposes, for implementing new marketing strategies etc)
